easyswap is an internet site run by an non-profit based on article 60 and following of the Swiss Civil Code, named easyswap and with its head office based in Lausanne, Switzerland.

easyswap is a free management system accessible to anyone who wants to exchange unused property and/or personal capacities in the form of returned services against swaps. The latter allowing them to obtain unused property in a temporary or final manner and/or access various services.

easyswap creates a virtual currency, the swap, which is not convertible into any other currency. Furthermore, there is no form of speculation possible with the swap.

In so far, swaps are either the exchange of a service against swaps, that is, the transfer of swaps from the account of the member, beneficiary of a service, to the contracting member, or, the exchange of goods against swaps, in a temporary or final way, between the member receiving or using the good and the owner.

In order to keep the exchanges on easyswap fluid and efficient, easyswap credits in definite and responsible manner the accounts of its users (see, Users’ individual accounts).

The TOS of easyswap are in accordance with the Swiss right in particular concerning the labor law, fiscal law and social security law. It is up to each user living outside the Swiss territory to verify the laws in force in their country and to judge of their adequacy with the system set up by easyswap. easyswap can in no case be held responsible for the nonconformity of its system with national legislations in particular relating to the labor law, fiscal law and the social security law.

In all cases, the Terms of service in their French version take precedence.

Utilization of easyswap

The Terms of service of easyswap regulate the rights and obligations of the recognized users of benefits of easyswap. The present Terms of service shall contribute to make easyswap a safe place for its members.

easyswap cannot control the risks linked to transactions undergone with unknown persons, who could deliberately provide erroneous information or adopt prohibited, illegal behavior, thus violating the obligations of members. easyswap nevertheless, tries to guarantee its users a maximum security of its network in general. Thus, every person wishing to access all the benefits offered by easyswap must fulfill the Terms of service and become a validated user of easyswap. The validation of the users’ identity is encouraged by easyswap for security purposes.

Furnished data will not be provided to third parties for advertising purposes and will only be utilized to verify the member’s identities in order to reassure the global swapper community and make the network safer.

Registration on easyswap

The registration on easyswap is free.

The same person may not open or manage two accounts at the same time, regardless if it is for their own use or for a third party.

By person, easyswap understands every individual or entity with the capacity to carry out legal acts. Minors (persons less than 18 years old) are not authorized to use the services provided by easyswap. The parent(s) of a minor older than 13 years may however validate the minor's account by providing a written request and a copy of their ID. For details, see the page Contact.

Member's status is personal and not transferable.

easyswap is open to every individual and legal entity. On the other hand, it is officially forbidden for employees to furnish services through easyswap during their working hours. Outside working hours, the use of professional equipment remains subject to prior agreement with the employer.

The only condition required to access all benefits of easyswap is to become a registered user with a validated account. To obtain a validated account, the identity of the user concerned must be verified. easyswap places at the disposal of its users various ways to undertake this verification for free. easyswap regards this procedure as strongly recommended for the exchange of property and services.

A non-validated status however is foreseen. This status allows to post ads and undergo exchanges on easyswap but doesn’t give access to the reward granted when posting or exchanging. In the same way, sponsoring other swappers is not allowed.

Consequently, the data provided for the registration must be complete and accurate. In case of change, the member is required to undergo the necessary corrections immediately in My Profil and thus to always keep the information accurate, complete and up to date. Should changes occur in the family name for instance, the user is to make a special request at easyswap through the contact form in order to undertake the necessary modifications.

The user's name chosen by the member for his registration must be neither indecent, pejorative nor shocking; it must not contain any indication of an electronic or internet address, or hurt the rights of a third party.

Specific aspects of the first step of the validation procedure

• The user is invited to fill out the spaces relative to his identity. The provided address must be the address of residence.
• The registration on easyswap automatically generates the sending of an activation e-mail to the address provided by the user. The latter is invited to click on the embedded link in order to activate the first part of his account on easyswap.
• The user is invited to fill out the spaces relative to his address. The provided address must be the address of residence. The user will later on have the possibility to indicate secondary addresses but the domiciliation address is the only valid one.

Means placed at the disposal of the users to have their identity verified, details of the second step of the validation procedure

• SMS: This option is only available for people living in the European Union, Switzerland, the US, and Canada. Choose this option and you will receive a code which will permit you to validate your account.
• Fax of your ID: You have a fax or a file of your passport or ID card? In this case, fax us your proof of identity. Pay attention to the quality of your copy, easyswap reserves the right to refuse any proof of identity considered illegible.
• You appreciate easyswap and want to support us? Thanks! In order to validate your account you have the possibility to send us an amount of 1, 2, 5, 10, 20, 30, 40, 50 Euros or more, it's up to you. We are grateful for all help provided. And no concerns as to the use of your funds, easyswap is run by a non-profit!

Users’ individual accounts

The registration as a member of easyswap automatically creates the opening of an individual swap account and a customized page My profile.

At opening, all accounts are equal and begin with 0 (zero). Exceptions are possible, in particular in the event of partnerships with public entities or private companies which have put at the disposal of the inhabitants of their city or their employees the benefits of easyswap.

Moreover, users having had their identity verified and who are consequently the owners of a validated account, benefit from various rewards in swaps with the goal to allow them to directly start swapping:

• the validation is rewarded 30 swaps;
• every advertising is rewarded 3 swaps for a service or a good to sell; 5 swaps for a good to rent out;
• every exchange is rewarded with 5 swaps;
• sponsorship of new members is rewarded 20 swaps, as long as the new user gets his account validated.

These amounts can be at all times modified or simply abolished by easyswap if the management of on-line swap requires it. Users may not dispute similar decisions taken by easyswap.

Note: In the case of a special offer by easyswap, in an aim to increase the number of swaps on-line (e.g., by doubling or tripling the swap amount paid-off for the posting of new advertisements, or the undergoing of exchanges), the largest number of acknowledged advertisements, within the framework of this special offer, is 20. If easyswap does not specify in its news or its e-mails another number to the users, this amount is to be regarded as valid in general terms and can not become the object of a dispute, should a user have posted a large number of advertisements which has unduly inflated his/her account with swaps. In such a case, easyswap is entitled at any time, to simply cancel the litigious advertisements, and thus to debit the account of the concerned user, after having informed the latter about it.

An account produces no positive or negative interest.

Debit accounts are not accepted.

The same person may not open or manage two accounts at the same time, regardless if it is for their own use or for a third party.

In case of absence, every holder of an account can, if he wishes and for a determined length of time, ask to be withdrawn from the list of available users.

It is forbidden to provide a telephone number with added value (for example number 0900) on your personal page.

Links toward personal websites are not allowed. easyswap is entitled to erase a link toward a website at all times, especially if the latter is of notably commercial nature or offends the moral and legal principles defended by easyswap.

By their adhesion with easyswap, users promise to answer as far as possible in a positive way to the calls/requests addressed to them but preserve the freedom to refuse an exchange in case of unforeseen difficulty.

Questions relative to the swaps

All transactions performed on easyswap are executed on-line.

No money passes through the user’s account. Services are entirely remunerated in swaps.

Expenses caused by the performance of a service (displacement, raw materials, etc) may be added in swaps to the initial price. Under no circumstances such costs can be paid with a real currency.

Users’ accounts start in general with 0. However, in case of a partnership with municipalities or companies, the accounts of the users involved are automatically credited with a defined number of swaps.

In addition, easyswap reserves the right to offer various actions to credit the accounts of its users, in order to ensure the good functioning of the system should the swap amount on-line be insufficient.

Advertisements on easyswap

easyswap distinguishes three types of advertisements:

• Goods to exchange: Minimum 0 swaps, maximum 9999 swaps, with increments by 1 swap (0 possible, negative numbers not allowed).
• Goods to loan: The day is the reference; minimum is 1 day, the maximum 365 days; the prices vary from 0 to 500 swaps per day, with increments by 1 swap (0 possible, negative numbers not allowed).
• Services: The reference is the hour; the prices vary from 0 to 64 swaps per hour, by increments of 4 swaps (0 possible, negative numbers not allowed). The duration of a service is at least of a ¼ of an hour, with a maximum of 4 hours, with increments by 15 minutes.

Any ad can be posted on-line either under the class Offers or under Requests. The advertising of offers credits the account of every validated user, following the underneath scale, knowing that any of these amounts in swaps can be modified or simply abolished by easyswap:

• Your account will be credited 3 swaps for the advertising of a new service.
• Your account will be credited 3 swaps for the advertising of a new good to exchange for swaps (out of convenience called sale).
• Your account will be credited 5 swaps for the advertising of a new good to lend for swaps (out of convenience called hire or rent).

The posting of a request does not grant a reward and no swaps will be credited on the users account. It seems important to point out here that users placing a request on-line must first ensure themselves to possess the sufficient amount in swaps, and furthermore, must permanently keep this required amount on their accounts, in order to honor a possible response at any given time.

It is allocated to the members advertising their goods and services to estimate the pricings for the latter. The predominating logic on easyswap is that of the free market. In order to allow the members to estimate the value in swaps of the services which they make available, easyswap provides a list of services with their respective value in swaps for information purposes. It is recommended, for a more effective use of the site, to conform to the examples provided. Members offering goods on-line, in temporary or final manner, may if they wish adapt the value in swaps of their goods every time they consider it necessary. Counter-proposals are not possible.

Special note: Contract of loan for use

For ease of use, and in order to promote a better understanding of the easyswap system among its users, the terms rent or hire are frequently used on easyswap. However, this temporary exchange limited in time and rewarded by a defined amount of swaps may in no case be legally construed as a lease and is to be regarded as a contract of loan for use.

Consequently, possible damages caused to the property during the granted period of time, are of the entire responsibility of the member having profited from this property and can in no case be borne by the owner of the property or by easyswap itself.

In pursuit of making exchanges on its website as safe as possible, easyswap encourages its users to undertake the validation of their identity. easyswap however cannot oblige users to do so, nor always guarantee the truthfulness of the collected data, notably in the case of willful deceit, but commits to verify at best the data provided by the users. easyswap may under no circumstance, be held responsible for information put on-line by its users, nor for direct or indirect harm or loss due to this information.

Therefore, and in order to best anticipate any litigation relative to the loan of a good between two users, easyswap strongly recommends that its users print out and sign this automatically generated contract of loan for use when renting out or hiring a good. By signing, easyswap users certify the accuracy of their identities and the truthfulness of the details of the contract.

Should the quality of the loaned object be contested, the borrower has ten days to contest this transaction starting from the day the loaned object is received.

In case of theft, or any other litigation between the parties of this contract, easyswap denies all responsibility, including the consequences due to one of the parties of this contract registering on easyswap with a false identity. Consequently, easyswap charges the parties of every contract, with the responsibility of verifying each other's identity, notably by requiring as a condition before signing the contract, access to valid proof of identity; the latter being either presented directly at the moment of signing, or scanned, in the case that a good should be sent by post.

Through their signature, each party to the contract accepts all the points evoked above, the latter being party of the contract.

Description of services and property

The member offering a service and/or a good against swaps on-line, respectively the advertiser, promises to provide in their offer true and complete information about the service that they would like to exchange and/or the good which they would like to exchange in a temporary or final way. In the latter case, they will specify as well the conditions of delivery. They should moreover point out the possible defects of the product or eventual damage to the packing if it concerns second hand property.

Announcements must be written in one of the official languages of easyswap. Announcements written in another language will not be permitted and can result in the exclusion of the member.

Respect of copyrights as well as those of third parties when posting offers and requests

• Images, text, etc. available on internet are basically not a public property. That means concretely that copying or downloading of images, text, etc. might infringe on the rights of third parties, in particular copyrights.
• This rule also applies to the descriptions and images of products already on-line. Even if the texts and the images are modified, the third party copyrights could nevertheless be violated.
• This is why we recommend you use only images and texts which you have created yourself, or for which you have an authorization to use.
• Copyright holders can alert easyswap of the ads which violate their rights. easyswap will remove ads which violate the rights of third parties.

Definition of transport charges

• By placing goods or a service on-line, the owner or the contractor can choose if they want to attribute transport charges to the member potentially interested by an exchange or if they will absorb the charges themselves. These expenses are to be counted in swaps, therefore easyswap offers the possibility to add these amounts directly in the advertisements forms.
• For services, transport charges will include moving expenses.
• For property, transport charges consist of shipping expenses and packing of the concerned goods.
• Shipping expenses are calculated on the basis of the mail rates in force, but always in swaps. The owner can define transport charges in the text description, particularly if he intends to deliver goods, either in adjoining countries, or from abroad to Switzerland.
• If, by common consent, the goods are to be personally delivered by the owner to the concerned user, there are no chipping charges involved for the latter.

Erroneous category

It happens, unfortunately, that advertisers place their offer of services and/or property in an erroneous category, thus handicapping the transparency of the site. easyswap reserves the right to move these ads into the correct category.

Repeated publication of an article

It is forbidden to repeatedly post the same article or very similar articles. This applies as much to articles placed in the same category as to those posted in different categories. easyswap reserves the right to suppress these articles without warning.

Forbidden services and forbidden goods

• It is forbidden to put on-line or to promote services and goods of which the offer, the exchange, the acquisition, the provision or the use could be against the law or public decency.
• easyswap undertakes to forbid the publication of a service and a good if it judges that the latter is against the law or public decency.

Questions relatives to exchanges

In general exchanges are carried out through easyswap. If two users exchange property or services without resorting to easyswap, they will in no case be able to assert any right regarding the swaps which should have been credited or debited on or from their respective accounts.

Exchanges may be cancelled any time before the date of completion. Yet, in order to avoid having users move along to carry out exchanges that finally might not take place, easyswap recommends the cancellation to be executed at least 6 hours before the exchange.

Exchanges of for-loan property should in all cases be the object of a written agreement in between the concerned users. easyswap puts at the disposal of its users a contract for loan for use every time such kind of exchange gets concluded. This document is specifically adapted, ready to use and requires only the signature of the involved parties and the date.

Enforceable right for contracts between members

Dispositions governing offers and requests as well as contracts concluded between the members of easyswap are subject to the laws enforceable in their country of domiciliation, as far as no legal obligatory disposition opposes it.

Juridical guarantee

When an advertiser publishes a good intended to be exchanged for swaps in a final or temporary way, the concerned member certifies to the interested member (or 'receiver') that he or she is the legitimate owner of the good being discussed and that they are authorized to exchange it in a final or temporary way.

Exchange of data between members

Personal data of users are strictly confidential. However, in the event of a successfully concluded exchange, easyswap provides the exchanging users with their respective addresses, in order to allow them to communicate among them and set up the exchange modalities. These data are used to conclude the transaction, notably to ship the goods to the correct address of the user who becomes the new owner or the one having temporary usage.

Case of contract withdraw

Any exchange can be cancelled before the defined hour; easyswap however recommends a cancellation to be executed at least 6 hours before the exchange. 

Once this deadline exceeded or the exchange accomplished, users who wish to revoke an exchange can introduce a dispute procedure.

The cases justifying a dispute procedure are the following

• The receiving member (or 'receiver') of a service or a good does not establish contact with the advertiser within 7 days after the conclusion of the exchange, although the advertiser has tried to reach the concerned member at least twice by e-mail and once by telephone. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. If the case occurs for the first time, the receiver will be warned. If such case occurs several times, the advertiser can be excluded from easyswap.
• The advertiser does not establish contact with the receiver within 7 days after the conclusion of the exchange, although the receiver tries to reach the advertiser at least twice by e-mail and once by telephone. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. If the case occurs for the first time, the advertiser will be warned by easyswap. If such case occurs several times, the advertiser can be excluded from easyswap.
• The advertiser does not deliver to the receiver the good or service concerned within 10 days after the conclusion of the exchange, or for goods only, if the advertiser has specified a longer delivery date in the conditions of exchange, when the allotted extended time expires. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. If such case occurs several times, the advertiser can be excluded from easyswap.
• The receiver, without a valid reason, wants to withdraw from the transaction. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. If such case occurs several times, the advertiser can be excluded from easyswap.
• The receiver and the advertiser make an appointment, but the receiver does not come. The advertiser then tries to reach the receiver by e-mail or by telephone. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. When this case occurs for the first time, the receiver will be warned by easyswap. If such case occurs several times, the receiver can be excluded from easyswap.
• The receiver and the advertiser make an appointment, but the advertiser does not come. The receiver then tries to reach the member concerned by e-mail or by telephone. If concrete elements are at the disposal of easyswap regarding the case introduced above, easyswap promises to take action. When this case occurs for the first time, the advertiser will be warned by easyswap. If such case occurs several times, the advertiser can be excluded from easyswap.

Faulty goods and termination of the contract by the receiver

If delivered goods are faulty or do not function properly, the receiver must inform the advertiser within 14 working days after reception. The receiver can demand that it be repaired. The receiver must bring or send the faulty item to be repaired to the place indicated by the advertiser, that is, the former owner. Transport charges, if any, are entirely paid by the receiver. If, after two successive repairs, the desired result is still not obtained and the receiver and the advertiser have not agreed upon another solution (e.g., a reducing of the value of the goods in swaps), the contract is automatically resolved (return of the goods, and refund of the swap amount credited to the account of the advertiser through backward exchange).

The previous paragraph only applies in the absence of other particular guarantees (for example a longer verification period, a guarantee of the producer of the goods, etc). When other particular guarantees exist, these will apply.

Risks and evaluation system

Please note that every exchange performed on internet includes inherent risks which are proper to this network of communication. In view of the difficulties of identification of the members on internet, easyswap cannot guarantee that every member are the one that they pretend to be. Nevertheless, to restrict the risks of abuse, easyswap encourages its users to have their identities validated. In spite of this easyswap cannot guarantee that the provided information is always accurate and that the member is who they pretend to be.

The mutual evaluation (rankings) between two swappers after each exchange gives other swappers some idea of the persons they will deal with in the future. easyswap does not systematically control these evaluations, but does offer the possibility to contest a disfavorable or untrue evaluation.

Misleading evaluations are not permitted, nor is the manipulation of the system for one's own advantage.

In particular, it is strictly forbidden to manipulate one's own profile by using multiple usernames.

easyswap reserves the right to delete or correct false or misleading evaluation anytime, and without warning.

Temporary or final termination of a registration by a member

In case of absence, every account holder can ask to be withdrawn from the list of available users for a determined length of time.

If a member wishes to relinquish their membership, they may do so at any time by sending an e-mail to easyswap through the form Contact.

Conditions for such termination are the following

• The member must use the possible residual credit remaining on his account. If the member is incapable of using this credit, they may transfer it to a user of their choice. The receiver must be a member of easyswap and the transfer will be executed through any as valid considered exchange. In no case a cash refund can be accepted.
• The concerned member does not have any ongoing offers. If that is the case, easyswap will withdraw them without consultation.
• In the event of demise of the holder of a credited account the legislation in force is applied.

The Customer Services of easyswap will confirm the termination by e-mail and block the corresponding account.

Evaluations (rankings) having been possibly given and accepted by the member will cease appearing on easyswap after the termination of a registration. The same happens in case of exclusion of a member.

No registration, membership or utilization fee

A member cannot claim the right of registration or membership, or the limitless use of benefits. easyswap reserves the right at all times to refuse a registration, exclude a member, forbid utilization or cancel a benefit.

easyswap can be completely or partly unavailable for maintenance purposes or any other reasons. In such a case, members have no right to claim the access to the site.

Warning and exclusion of members

Any virtual platform of exchange of services and properties exists thanks to the seriousness of its members. easyswap utilizes the following reasons to warn or exclude members in the event, easyswap notices the existence of any of the following situations:

• Erroneous indications during registration (particularly false identity and more specifically age): exclusion of the member.
• Posting(s) of offers with forbidden indications and/or exchange(s) of forbidden products: warning or exclusion of the member according to the seriousness of their action.
• Excessive use or manipulation of the evaluation function: warning of the member.
• Repeated excessive use or manipulation of the evaluation function: exclusion of the member.
• Repeated placing of ads in a certain category on a page belonging to a different category with the clear intention to harm the transparency of the site: exclusion of the member.
• Refusal to validate a received service: exclusion of the member.
• Refusal to return goods belonging to a member: exclusion of the member (possible judicial proceedings on behalf of the affected member).
• First offer without intention of exchange: warning of the member.
• Repeated offers without intention of exchange: exclusion of the member.
• Violations of other dispositions of the Terms of service or enforceable legal dispositions: warning or exclusion of the member.

A warning or exclusion from membership can be pronounced at any time if easyswap considers the warning or the exclusion of a member justified.

In case of exclusion, closing or publication options expenses, as well as possible reminders and compensation, will be considered payable.

The exclusion of a member is decided for a period of at least three months.

Non respect of the exclusion of a member

Excluded members may not register again as members without the prior agreement of easyswap.

easyswap reserves the right to take legal action in case an excluded member tries, without prior agreement of easyswap, to register again as a member under his own name or under another name in an attempt to use the services of easyswap.

Particular rights of easyswap

In addition to other rights of easyswap declared in the TOS, easyswap reserves the right, in particular circumstances, to curtail, prolong, or limit the run-time of on-line ads and can prohibit swappers from using the services of easyswap.

Juridical position of easyswap

easyswap is not involved in exchanges and transactions established between users, respectively advertisers and receivers. It merely provides internet users with the technical means to carry out exchanges of services and property.

easyswap endeavors to undertake a systematic verification of the advertisements posted on-line for property or services but cannot be held responsible in loco for discourteous ads which might have escaped its control.

Only the receiver and the advertiser are the ones who must respect their obligations to the contract of exchange of a service or a good against swaps resulting from their respective offers and requests. easyswap is not actively involved in the contracts which are exclusively concluded between the members.

The swappers commit themselves to observe the Terms of service of easyswap. Furthermore, each swapper has the right to open a dispute procedure with easyswap in case of unsatisfactory exchange.

The delivery of the goods remains the responsibility of the advertiser.

easyswap does not assume any responsibility for, and does not guarantee the veracity of, the description or the characteristics of a service or a good, as well as the origin, the specified value in swaps, and the availability of the goods offered. Moreover, easyswap does not assume any responsibility for non-respect of a contract between users.

easyswap is not responsible if certain requests or offers cannot be accepted or processed immediately due to technical reasons.

easyswap is not responsible for the behavior of the advertiser nor for the property which the latter offers in final or temporary exchange.

easyswap does not have any influence on inter-connected external sites. Therefore, easyswap must categorically refute any responsibility for the topicality, exactitude, legality, exhaustiveness or the quality of such sites.

Limitation of responsibility of easyswap

easyswap assumes responsibility only for direct damage resulting from voluntary violations or by grave negligence on the part of easyswap. easyswap denies responsibility for direct damage resulting from minor oversights – whatever the legal foundation – except in the case of obligatory legal dispositions. easyswap denies responsibility for secondary damage of consequential or consecutive nature – whatever the legal foundation.

easyswap does not assume any responsibility for damage caused by members or by third parties, as a result of the behavior of other members.

Exempting clause

If other members or third parties take legal action against easyswap because of a violation of their rights by property or services posted by a member, or due to another use of the easyswap site, this member exempts easyswap of all responsibility regarding the legal action and will assume all the legal expenses of easyswap (including judicial and legal expenses).

Enforceable dispositions in case of nullity

If certain dispositions of the present Terms of services were to be completely or partly useless and/or inapplicable, validity and/or application of other dispositions or applicable parts of these dispositions would remain in effect. The inapplicable dispositions would then be replaced with legally valid dispositions in the closest economical sense and in object of the inapplicable dispositions. The same clause applies to possible loopholes in the law.

Approval of the Terms of service

In all cases, the Terms of service in their French version take precedence.

Through your registration as a member of easyswap, as well as by your use of easyswap, you accept without restrictions the present Terms of service and establish a convention with easyswap on the use of the website, including the conditions of exchanges.

Each time you use one of the services offered by easyswap you re-confirm and accept the present Terms of use.

easyswap always posts the last version of the Terms of service on its website.

Should you not agree with the new version of the Terms of service, we ask you to inform us. From this date on, you will not be authorized any longer to use our benefits.

The Terms of service of easyswap comply in full data protection as defined by federal law on data protection (LPD) of 19 June 1992 (Statement on 1 January 2008).

Transfer of rights and obligations toward third parties

easyswap reserves the right to surrender to a third party or to have a third party carry out, all or part of the rights and obligations resulting from this convention.

Member's status is not transferable.

Enforceable law and jurisdiction

All legal matters between easyswap and its members, respectively the users, are subject to Swiss law.

As far as no obligatory legal disposition opposes it, the exclusive legal jurisdiction for all disagreements between a member and easyswap is CH-1002 Lausanne (VD).
